GENERAL TERMS AND CONDITIONS OF SALE
PURPOSE
These General Terms and Conditions of Sale (T&Cs) detail the rights and obligations between, on the one hand, the company Les Cérémonies de Mélanie (SIRET: 81214220600026) selling the services and benefits defined below, and on the other hand, any natural or legal person hereinafter referred to as "the Client".
The services and benefits offered by Les Cérémonies de Mélanie are as follows:
- Organization and coordination of public and private events
- Consulting for the organization of public and private events
- All secular ceremony celebration activities
PREAMBLE
These general terms and conditions relate to the company Les Cérémonies de Mélanie, Wedding Planner and secular wedding ceremony officiant. They constitute the framework of contractual and financial commitments offered to its Clients. Prior to the conclusion of the contract, the Client must request these general terms and conditions of sale from the seller. The fact that Les Cérémonies de Mélanie relies at any time on these general terms and conditions of sale cannot be interpreted as a waiver of any of said conditions. The Client, having declared interest in this service offer, delegates to Les Cérémonies de Mélanie the responsibility for organizing the event and/or the secular wedding ceremony by mandatory signature of a Mandate. They then have a withdrawal period of 14 (fourteen) days beyond which these general terms and conditions are intended to define their reciprocal rights and obligations.
ARTICLE 1 — QUOTATION
Any intervention by Les Cérémonies de Mélanie relating to services described on the website will necessarily be subject to a detailed and personalized estimate delivered in person or sent to the Client by email or postal mail. This quotation includes the designation and type of services determined from the request expressed by the client as well as the related cost terms. In case of contradiction between the Special Conditions appearing in the quotation signed by the client and those appearing in these General Terms and Conditions of Sale, the provisions of the quotation alone shall apply.
These T&Cs and the quotation accepted in writing by the Client, to the exclusion of any other document issued by Les Cérémonies de Mélanie and having only an indicative value, form the contract.
ARTICLE 2 — MANDATE
The Client delegates to the Organizer, who accepts responsibility for organizing the corresponding event, at the stage of this document, to the criteria that will be described in the Contract.
ARTICLE 3 — ORGANIZER'S OBLIGATIONS
During the term of the mandate, the Organizer undertakes to research and implement all components as defined in the contract. At the Client's request, Les Cérémonies de Mélanie conducts a first meeting free of any financial commitment from the Client. Following this first meeting, a quotation is established, listing the reception parameters envisaged by the Client. The Organizer's obligations regarding compliance with criteria may be redefined if a more precise specification is established and accepted by the parties. The Organizer will keep the Client informed of the progress of their file and will provide descriptions of the selected services. The Organizer undertakes not to disclose information provided by the Client, which will be kept confidential.
ARTICLE 4 — CLIENT'S OBLIGATIONS
The Client undertakes not to conceal anything from the Organizer or their representatives, concealment that would be likely to delay, hinder, thwart or disorganize the project or its implementation. The Client will facilitate access to information that the Organizer may need. The Client is obliged to respect and fulfill the special conditions of the selected provider(s) and in particular to pay any deposit or guarantee that may be necessary before full payment of all sums due. The Client undertakes not to intervene directly, during or after the event, with suppliers, subcontractors, artists, staff and collaborators of the Organizer.
Services booked in the contract are not modifiable or refundable. If the Client performs themselves or waives a task entrusted to Les Cérémonies de Mélanie, this cannot be deducted from the invoice.
The Client undertakes not to participate in any television games during the event. Otherwise, the Organizer reserves the right to cancel event management even if this service was signed beforehand.
The Client undertakes to provide a meal for all members of the Les Cérémonies de Mélanie team present at the event. This meal will be identical to that of the guests and will be served in the same room as that planned for the couple's meal.
If the event takes place more than 50 kilometers from the registered office of Les Cérémonies de Mélanie, the client undertakes to pay a travel allowance to Les Cérémonies de Mélanie from the 51st kilometer (based on the URSSAF scale) and to provide on-site accommodation for the duration of the service, namely during the setup period as well as the night following the event.
ARTICLE 5 — NON-WAIVER CLAUSE
Under no circumstances may the fact that Les Cérémonies de Mélanie refrains from claiming the performance of an obligation to which it is entitled be interpreted as a waiver of the performance of said obligation, regardless of the duration of its abstention or tolerance.
ARTICLE 6 — LIABILITY
The Client is responsible for any damage, direct or indirect, that they or the participants may cause during the event. The Client declares and warrants that they have full legal capacity to commit under the contract and that they hold valid civil liability insurance covering the risks related to the organization of the event.
Les Cérémonies de Mélanie has professional civil liability insurance. Its liability cannot be engaged in case of force majeure or events beyond its control.
ARTICLE 7 — INTELLECTUAL PROPERTY
All elements created by Les Cérémonies de Mélanie in the context of event organization (concepts, plans, mock-ups, etc.) remain the intellectual property of Les Cérémonies de Mélanie until full payment of all sums due.
ARTICLE 8 — IMAGE RIGHTS
Unless otherwise stated in writing, the Client authorizes Les Cérémonies de Mélanie to use photographs and videos of the event for promotional purposes on its communication media (website, social networks, advertising materials).
ARTICLE 9 — DISPUTES
In case of dispute, the parties undertake to seek an amicable solution before any legal action. In the absence of an amicable agreement, the competent courts will be those of the location of the registered office of Les Cérémonies de Mélanie.
In accordance with the provisions of Law No. 2016-1547 of November 18, 2016, the Client may use a consumer mediator free of charge for the amicable resolution of the dispute opposing them to the professional. Les Cérémonies de Mélanie adheres to the e-commerce mediator service of FEVAD (Federation of e-commerce and distance selling) whose contact details are as follows: 60 rue la Boétie - 75008 Paris - http://www.mediateur-fevad.com
ARTICLE 10 — SPECIFICATION MODIFICATIONS / RATES
Any modification of the specifications requested by the Client after signing the contract must be subject to an amendment to the Client's contract. Travel and accommodation costs may be invoiced according to the terms defined in the contract. The Organizer reserves the right to increase the package according to the workload induced by the modification of the specifications.
Rates are also subject to change depending on exchange rates and in the absence of booking confirmation made by payment of a deposit. The quotation established by Les Cérémonies de Mélanie is valid until the end of the option date indicated in the quotation. After this date, the quotation becomes void.
ARTICLE 11 — PAYMENT TERMS
Payment for services and/or benefits provided by Les Cérémonies de Mélanie is made exclusively in Euros, either by check made out to Les Cérémonies de Mélanie, or by bank transfer to the account whose IBAN appears on the quotation.
Payment is scheduled as follows:
- Payment of a first deposit of 40% of the total amount on the day of signing the quotation by the Client.
- Payment of a second deposit of 40% of the total amount within 3 months before the start of the event.
- Payment of the balance of 20% of the total amount within 8 days before the start of the event.
In case of default of payment, forty-eight hours after a formal notice that has remained unanswered, the service will be terminated by operation of law by Les Cérémonies de Mélanie if it so requires.
ARTICLE 12 — CANCELLATIONS
Cancellation by the Client: in case of withdrawal, refusal or cancellation by the Client, Les Cérémonies de Mélanie will be released from any obligation towards the Client and the Client will not be entitled to either the postponement of the event or the refund of sums already paid.
Cancellation fees: between D-day and D-8: 100% of fees due; between D-9 and D-30: 80%; between D-31 and D-60: 60%; between D-61 and 6 months: 50%; more than 6 months before: the deposit paid will remain acquired.
Cancellation by either party must be made by registered letter with acknowledgment of receipt.
ARTICLE 13 — RIGHT OF WITHDRAWAL
In accordance with Article L 221-5 of the Consumer Code, the Buyer has the right to withdraw without giving any reason, within fourteen (14) days from the date of receipt of their order. The right of withdrawal may be exercised by contacting Les Cérémonies de Mélanie by registered mail. In case of exercise of the right of withdrawal within the aforementioned period, the deposit paid will be refunded within 30 days.
